Paul, Weiss is advising Amazon.com, Inc., in its $10.8 billion cash-and-stock acquisition of Globalstar, Inc., a leading mobile satellite services operator, a pioneer in non-geostationary orbit satellites and direct-to-device (D2D) technology, and a provider of critical and emergency communications to customers worldwide. The deal is expected to close in 2027, subject to certain closing conditions, including Globalstar’s achievement of certain replacement satellite milestones.

Building on the Globalstar deal, Amazon and Apple will enter a collaboration in which Amazon’s low Earth orbit satellite network Amazon Leo will power satellite services for supported iPhone and Apple Watch models, allowing users to text emergency services, message friends and family, and request roadside assistance, among other functions.

The Paul, Weiss team is led by corporate partners Krishna Veeraraghavan and Stan Richards, and includes partners Benjamin Goodchild, John Kennedy and Patricia Vaz de Almeida; intellectual property partner Jonathan Ashtor and counsel Matthew Rosenberg; executive compensation partners Matthew Friestedt, Rebecca Coccaro and Arian Mossanenzadeh, and counsel Annie Anderson; tax partner Robert Holo; litigation partners Andre Bouchard and Geoffrey Chepiga, and counsel Aubrey Smith and Audrey Paquet; antitrust partner Scott Sher and counsel Alexandra Hackney; environmental partner Stefanie Gitler; and real estate partner Matthew Dulak.
