An associate in the Litigation Department and a member of the Antitrust Group, Shaina counsels clients in a wide range of antitrust matters, with an emphasis on mergers and acquisitions, joint ventures and investigations by the U.S. Department of Justice and U.S. Federal Trade Commission. Her experience spans a broad range of industries, including financial services, retail, technology, healthcare, pharmaceuticals, defense and energy.

Shaina serves as a member of the selections committee for the Kim DiGiovanni Aluisi Memorial Scholarship at the University of Baltimore School of Law and as a Young Lawyer Representative for the U.S. Comments & Policy Committee of the Antitrust Law Section of the American Bar Association.

Shaina’s notable representations include:

  • Acerinox in its $970 million acquisition of Haynes International.
  • Carrier Global Corporation in its $4.95 billion sale of its global access solutions business to Honeywell.
  • Endeavor Energy Resources in its $26 billion merger with Diamondback Energy.
  • Enstar Group in its $5.1 billion sale to Sixth Street and other institutional investors.
  • Florida Cancer Specialists & Research Institute in its $2.49 billion all-cash sale of a majority stake in its internal business and administrative services, Community Oncology Revitalization Enterprise Ventures, to McKesson Corporation.
  • General Mills in its $1.45 billion acquisition of Whitebridge Pet Brands’ North American premium cat feeding and pet treating business from NXMH.
  • IBM in connection with its:
    • $6.4 billion acquisition of HashiCorp; and
    • acquisition of DataStax.
  • IonQ in its acquisition of Capella Space Corporation.
  • Price Chopper in regard to its merger with Tops Market, creating a supermarket retailer with approximately 300 stores in six states.
  • Qualcomm in connection with its successful $4.5 billion acquisition of Arriver from Veoneer.
  • QXO in its successful $11 billion unsolicited bid to acquire Beacon Roofing Supply.
  • Roark Capital Group in its acquisition of Dave’s Hot Chicken, reportedly valued at $1 billion.
  • Rocket Companies in its all-stock $1.75 billion acquisition of Redfin.
  • SilverCrest Metals in its $1.7 billion sale to Coeur Mining to create a global silver company.
  • United Technologies in its $135 billion merger with The Raytheon Company.

While in law school, Shaina served as a research assistant for Law Professor Steven Salop; as co-chair of the Student Bar Association’s Special Events Committee; and as managing editor of the Georgetown Journal of Law and Public Policy.
