As counsel in the Tax Department, Samir advises clients on a variety of tax matters, including in connection with a broad range of corporate financing and capital markets transactions, mergers and acquisitions, preferred equity investments, restructurings, partnerships and joint ventures. Samir has represented many leading investments and commercial banks and a number of other companies, including Arch Capital Group, Cable One, ICON, Linde, Shutterstock and 1-800-FLOWERS.COM.

Samir’s corporate finance experience includes advising:

  • Financing sources in connection with $32 billion of bridge commitments provided to Broadcom to finance its acquisition of VMware
  • ICON in connection with a $5.515 billion term loan B, a $300 million revolving credit facility and $500 million senior secured notes offering
  • Lead arrangers of a $2.4 billion term B credit facility and a €870 million term B credit facility, and initial purchasers of a Rule 144A offering of $800 million of senior secured notes, in connection with the leveraged buyout of Univar Solutions by affiliates of Apollo
  • Lead arrangers of a $1.45 billion revolving credit facility and a $880 million term A credit facility for Boyd Gaming Corporation
  • Lead arrangers of a $575 million first lien term B credit facility and a $100 million first lien revolving credit facility in connection with the leveraged buyout of Echo Global Logistics by The Jordan Company
  • Initial purchasers of a Rule 144A offering of $1.05 billion of senior notes by Scripps Escrow II, a special purpose wholly-owned subsidiary of The E.W. Scripps Company
  • Freedom Mortgage Corporation in connection with a $650,000,000 senior notes offering
  • Lead arrangers of a senior secured bridge facility, revolving credit facility and term loan facility in connection with the acquisition by Apollo of Primafrio Corporation, S.A.
  • Lead arrangers in connection with the credit facilities provided to support the acquisition by Caesar’s Entertainment of William Hill plc at an enterprise value of £2.2 billion
  • Initial purchasers of $2.15 billion of senior notes in connection with the acquisition by Apollo of The Michaels Companies
  • Underwriters of $2 billion of senior secured notes by Charter Communications Operating, LLC and Charter Communications Operating Capital Corp., wholly-owned subsidiaries of Charter Communications
