A partner in the Mergers & Acquisitions, Infrastructure and Private Equity M&A Groups; Jennifer Gasser advises a diverse range of clients, including private equity sponsors, their portfolio companies and public companies, in mergers, acquisitions, divestitures, leveraged buy-outs, carve-outs, joint ventures, hybrid capital and corporate governance matters.
Jennifer has advised clients across a broad range of industries, including energy, infrastructure, industrials, technology, and financial services.

Jennifer’s strategic M&A representations have included advising:
- Arcosa in its $1.2 billion acquisition of Stavola
- Celanese Corporation in its $500 million divestiture of the Micromax® portfolio of products to Element Solutions
- Cloverleaf Infrastructure in its sale of powered land to Vantage Data Centers in connection with the development of a 1.3 GW data center campus in Wisconsin and similar sale transactions
- Daseke in its $1.1 billion sale to TFI International
- Forum Energy Technologies in its acquisition of the remaining interests of Global Tubing from the joint venture partner and management
- Guardian Capital Group in connection with Guardian Smart Infrastructure Management’s acquisition of a controlling interest in Q-Free ASA
- Kimbell Royalty Partners in its $404 million acquisition of mineral and royalty interests and equity interests from Haymaker Minerals & Royalties and Haymaker Resources, as well as various other acquisitions of mineral and royalty interests from private equity sponsors and affiliated sellers; and its recapitalization, transitioning it from a traditional MLP structure to an Up-C structure
- McDermott International in its $6 billion acquisition of Chicago Bridge & Iron Company N.V.
- ONEOK in its $2.6 billion acquisition of Global Infrastructure Partners’ equity interests in Medallion Midstream
- Sempra Energy in the structuring of and governance for, and the sale of equity interests in, its North American LNG projects, including its Port Arthur LNG export facility
- U.S. Silica Holdings in its $750 million acquisition of EP Minerals
- An undisclosed buyer in the acquisition of distributed generation solar assets from a domestic residential solar company
- An undisclosed buyer in the acquisition of the remaining interests of an automobile manufacturing business from the joint venture partner and management
Jennifer’s private equity and asset management representations have included advising:
- Bernhard Capital Partners in the sale of Charah Solutions to SER Capital and its acquisition of RailWorks from Wind Point Partners
- Blue Source Sustainable Forests Co., a joint venture between TPG Rise-backed Anew Climate and various equity investors, in its $1.8 billion acquisition of various entities managed by The Forestland Group and its $1+ billion capital raise
- CIC Partners in its equity investment in CraftMark Bakery
- EQT Corporation in its $35 billion merger with Equitrans Midstream Corporation, its $8.8 billion midstream joint venture with Blackstone Credit & Insurance, its
$5.2 billion acquisition from THQ Appalachia I and THQ-XcL Holdings I (affiliates of Quantum Energy Partners and Tug Hill Operating) of their direct and indirect upstream and midstream subsidiaries and associated oil and gas assets, properties and gathering systems in the Appalachian Basin and various other transactional and governance matters - Global Infrastructure Partners in its investment in Rio Grande LNG’s $18.4 billion Phase I development and project financing
- Northleaf Capital Partners and AVALT in the acquisition of WASH Multifamily Holdings
- Pelican Energy Partners in its acquisition of the surface pressure control flow business unit of the Oilfield Equipment segment of Baker Hughes
- Sandbrook Capital in its $300 million capital commitment with NGP in Cloverleaf Infrastructure, its acquisition of Intellirent from Electro Rent Corporation and its acquisition of United Utility Services from Bernhard Capital Partners
- Oaktree Capital Management in a $150 million redeemable preferred equity investment in Mission Lane
- Warburg Pincus and Hawkwood Energy in Hawkwood’s $650 million acquisition by WildFire Energy I

- Various offerings of common equity, preferred equity and debt securities for public companies, including Helix Energy Solutions Group, Kimbell Royalty Partners, the underwriters for Plains All American Pipeline, Shell Midstream Partners, Summit Midstream Partners, Sunnova Energy International and various private companies
- Multiple SPAC clients and targets, including ArcLight Clean Transition Corp. in its business combination with Proterra for a pro forma enterprise value of $1.6 billion; ArcLight Clean Transition Corp. II in its business combination with OPAL Fuels for a pro forma enterprise value of $1.75 billion; ACON S2 Acquisition Corp. on its business combination with ESS Tech for a pro forma enterprise value of $1.072 billion; Global Partner Acquisition Corp II in its business combination with Stardust Power for a pro forma enterprise value of $447.5 million; and Rice Acquisition Corp II in its business combination with NET Power for a pro forma enterprise value of $1.459 billion
