A partner in the Mergers & Acquisitions Group, Gemma Cullen has extensive experience advising  financial sponsors and strategic clients within the energy and infrastructure industry on a wide range of corporate transactions, including complex mergers and acquisitions, disposals, joint venture arrangements, consortium transactions and reorganizations. 

Experience

Gemma’s representative experience includes advising:

  • Blackstone and EQT on their joint acquisition of Urbaser, a Spain-based leader in waste management infrastructure and environmental services
  • EQT on its sale of a minority stake in Nordic Ferry Infrastructure, a leading operator of essential ferry infrastructure across its route network of “floating bridges” in the Nordics,, to a consortium of investors composed of Gotlandsbolaget, Interogo Infrastructure and Lægernes Pension Fund
  • EQT on its joint venture with GIC to acquire Calisen, a leading independent provider of smart meters and energy transition infrastructure in the UK
  • DigitalBridge, Advencap, Soho Square and Substantial Group Limited on the £2 billion sale of Substantial Group, the UK’s second largest alternative fiber provider, to InfraVia, Liberty Global and Telefónica through their existing joint venture, nexfibre
  • Stonepeak on its acquisition of Forgital Group, a manufacturer of advanced forged and machine-finished components for aerospace and industrial end markets, from Carlyle Group
  • KKR on its acquisition, alongside Ocean Yield, of CapeOmega, a leading low carbon maritime platform operating a fleet of liquified natural gas (LNG) carriers, from Partners Group
  • Amber Infrastructure on its strategic combination with Boyd Watterson to create an investment manager with $35.7 billion assets under management
  • Italgas, a leading gas distributor listed on the Milan Stock exchange, on its acquisition of DEPA Infrastructure, a predominant natural gas distribution operator in Greece
  • Public Power Corporation on its acquisition of all equity interests held by Enel S.p.A. and its subsidiaries in Romania, including a significant renewables portfolio and leading electricity distribution and supply businesses, for approximately €1.9 billion
  • Abra Group on its strategic acquisition and combination of the Avianca and GOL airlines to create a leading air transportation group across Latin America
  • Avianca Airlines, the second-largest airline group in Latin America, on the corporate law and equity arrangements involved in its successful chapter 11 reorganization
  • BlackRock and KKR on their landmark partnership with ADNOC in connection with a $4 billion midstream pipeline infrastructure agreement
