Eric L. Perelman is a partner in the Investment Funds Group, where he represents leading global private fund and asset managers on a wide range of complex legal, regulatory, transactional and compliance matters arising under the Investment Advisers Act, the Investment Company Act and related federal securities laws, including the formation, offering and governance of private equity funds, GP-led secondaries vehicles, co-investments, credit funds and managed account platforms and other investment products.
Eric regularly advises asset managers on SEC examinations, including counseling leading private fund sponsors through the defense of more than 45 SEC exams, as well as investment adviser registration, SEC enforcement investigations and related regulatory and compliance matters and ongoing disclosure and securities reporting obligations. He also counsels clients on material non-public information and insider trading issues and regularly advises private fund sponsors and buyers on minority investment and control sale transactions, as well as related capital markets and M&A considerations.
Eric began his career as a law clerk at the Division of Investment Management at the U.S. Securities and Exchange Commission. Eric frequently speaks on legal and regulatory issues related to the private funds industry, including for events sponsored by Private Equity International, the Investment Adviser Association, the Harvard Business School Venture Capital & Private Equity Conference and the National Venture Capital Association.
