An associate in the Litigation Department’s M&A Litigation Group, Matt Clarida focuses on transaction disputes in the Delaware Court of Chancery. He advises on expedited breach-of-contract litigation and postclosing disputes, including matters related to purchase price adjustments, earnouts and fiduciary duties. His recent engagements include trying an earnout dispute on behalf of a major private equity firm and successfully resolving two additional earnout cases on the eve of trial. He is a member of the Corporation Law Section of the Delaware State Bar Association. He writes frequently about business law issues.
