Jonathan Michaelson is an associate in the firm’s Executive Compensation Group. Jonathan advises both public and private clients on a wide range of compensation and employment matters. He has played a significant role in structuring and negotiating executive compensation and incentive arrangements in high-profile mergers, acquisitions and other transformative corporate events, and has advised on related securities, tax and corporate governance issues. Jonathan also regularly counsels clients on the design, negotiation and implementation of employment agreements, severance arrangements and change-in-control provisions in connection with mergers, tender offers, spin-offs and going-private transactions.
His work ensures that clients are well-positioned to address the unique challenges and regulatory requirements associated with executive compensation in high-stakes corporate transactions. Jonathan is committed to providing clients with practical, business-focused advice, ensuring that executive compensation solutions are tailored to support their strategic objectives and address the specific complexities of each transaction.

- Funds managed by affiliates of Apollo Global Management in its acquisition of a majority stake in Modern Aviation, a fixed base operator (FBO) platform serving business and general aviation
- Funds managed by affiliates of Apollo Global Management in its structured equity investment in Intermodal Tank Transport, a tank container transportation and logistics company
- Chevron Corporation in its $55 billion acquisition of Hess Corporation
- CI Capital Partners in the sale of its portfolio company, PRA, to EagleTree Capital

- IBM in its acquisition of DataStax
