Jake Philipoom is an associate in the Litigation Department focusing on antitrust matters. Jake has experience handling a wide range of antitrust matters, including representing companies before antitrust authorities in M&A transactions, in second requests before the U.S. Federal Trade Commission and Department of Justice; and in civil antitrust investigations into issues such as gun-jumping and interlocking directorates. He also counsels on matters related to exclusive dealing, information sharing and the Robinson-Patman Act, as well as general antitrust litigation.

Jake’s notable representations include:

  • IBM in multiple transactions, including its $6.4 billion acquisition of HashiCorp, a leading hybrid cloud automation vendor;
  • Red Hat in its acquisition of Neural Magic, a pioneer in software and algorithms that accelerate generative AI inference workloads;
  • Roark Capital Group in its acquisition of Subway Restaurants, one of the world’s largest quick service restaurant brands;
  • Carrier Global Corporation in multiple transactions, including its $4.9 billion sale of its Global Access Solutions business to Honeywell;
  • WestRock in its $20 billion combination with Smurfit Kappa, a global leader in sustainable packaging, creating Smurfit WestRock; and
  • AlphaSense in its $930 million acquisition of Tegus, a leading provider of expert research and financial data.
