In the episode, “M&A Considerations and the New Antitrust Paradigm,” Scott discussed how potential changes in antitrust enforcement may impact dealmaking. Scott noted that companies considering a merger should focus on preparation even before a signed merger agreement—for instance, examining relevant markets and competitors, and reviewing potentially problematic internal communications—and planning for the endgame, whether it be complying with second requests, preparing to litigate, or negotiating potential remedies.
