Paul, Weiss is advising global technology company Aptiv in its $4.3 billion all-cash acquisition of Wind River from TPG Capital. Wind River is a global leader in delivering software for the intelligent edge, enabling the secure development, deployment, operations and servicing of mission-critical intelligent systems.
The transaction will allow Aptiv to extend its position in automotive software solutions, providing automotive customers with a faster and more economical path to full vehicle software architecture. Aptiv will finance the transaction through a combination of cash and debt. The deal is expected to close in mid-2022, subject to customary conditions and regulatory approvals.
