Litigation partner Jaren Janghorbani and associate Kim Francis were recognized by The American Lawyer’s “Litigation Daily” column for their litigation victory on behalf of Nuance Communications.
On February 7, Jaren and Kim secured the dismissal of a shareholder lawsuit and related motion for attorneys’ fees brought in connection with Microsoft’s proposed acquisition of Nuance. Nuance opposed the motion, arguing that the proliferation of meritless lawsuits seeking additional disclosures regarding corporate transactions confers no benefits on shareholders, serves only to enrich plaintiffs’ firms and effectively constitutes a tax on those transactions. The ruling in the Southern District of New York found that Nuance did not have to pay the plaintiff’s attorneys’ fees and dismissed the underlying claims as moot. The decision is “inspiring cheers from lawyers who handle merger disclosure suits,” according to AmLaw.
