Counsel in the Tax Department, Matt’s practice focuses on the U.S. federal income tax aspects of private investment funds. He represents sponsors of private equity, private credit, real estate, infrastructure, hedge, hybrid and fund of funds pursuing investment strategies across a broad range of industries and asset classes. Matt advises on fund formation and offerings, “upper-tier” and management company arrangements, co-investments, managed accounts and strategic partnerships, and the structuring of fund investments and dispositions. He also has extensive experience in the secondaries market, advising on the formation and operation of dedicated secondary funds as well as the execution of secondary market transactions, including LP portfolio sales and GP-led transactions.

Matt also has substantial investor-side experience, having advised non-U.S. governmental entities, sovereign wealth funds, pension plans and financial institutions on the U.S. tax matters affecting their fund investments.

Matt’s representative experience includes*:

  • Ardian in the launch of its flagship secondaries funds, including the latest generation, which raised $30 billion, as well as its direct and secondaries infrastructure funds, direct and secondaries real estate funds, and buyout funds
  • Ardian in the fund structuring for its acquisition of CampusParc, the concessionaire of The Ohio State University's parking system, and its acquisition of several renewable energy targets
  • Ardian in the fund structuring for its joint venture with Kering to acquire 715-717 Fifth Avenue for $900 million
  • Ardian in the formation and structuring for a new real estate secondaries platform with ADIA
  • CBRE Global Investors in the fundraising, structuring and ongoing management of several of its global real estate funds, and in the restructuring of its flagship secondaries real estate fund to accommodate investment by U.S. tax-exempt, sovereign wealth and “qualified foreign pension fund” investors
  • Innovation X Advisors in the launch of its flagship capital funds, real estate technology funds and venture capital funds, and in the structuring of continuation vehicles
  • J.P. Morgan Asset Management in the formation and structuring for a direct lending platform
  • Macquarie Asset Management in the raising of its global infrastructure debt fund and its U.S. and European direct lending funds
  • Qatar Investment Authority in all aspects of its investment in American Express Global Business Travel, including in connection with the merger of Amex GBT with a special purpose acquisition company and the subsequent take-private transaction
