An associate in the Corporate Department and a member of the Mergers & Acquisitions Group, Cyril Cutinha advises European and international private equity sponsors and other investors on a broad range of cross-border corporate transactions. His experience includes advising on leveraged buyouts, strategic mergers, acquisitions, divestitures, joint ventures, hybrid capital investments, structured and minority equity investments, equity and debt restructurings, and management equity plans. Cyril served as legal counsel on secondment to TDR Capital, a leading private equity firm, between 2024 and 2025, advising on the firm’s global new money equity investments and its existing portfolio.

Cyril’s notable representations include advising:

  • TDR Capital:
    • on the all-cash acquisition of UK-based software escrow business Escode from global cybersecurity company NCC Group plc;
    • on the successful closing of a newly formed continuation fund, to acquire majority control of David Lloyd Leisure;
    • on its majority investment in CorpAcq, a UK-based business acquisition compounder that specializes in investments in small and medium-sized enterprises in the UK;
    • on the acquisition of Acqua & Sapone from H.I.G. Capital and the founding Barbarossa family; and
    • on numerous matters involving its portfolio companies Aggreko, Applus, Arrow Global, Buffalo Grill, Jollyes, Lyceum Education Group and Popeyes (UK, Ireland and France).
  • Apollo Global Management:
    • on its $1 billion structured equity investment in a joint venture with the State Oil Company of the Republic of Azerbaijan; and
    • on a strategic series of transactions to acquire Nippon Sheet Glass Co., Ltd, a global leader in architectural, automotive and technical glass.
  • EQT Private Equity*:
    • together with PRO Unlimited on PRO Unlimited’s acquisition of outsourced workforce management provider Geometric Results, Inc. (GRI) from Bain Capital Private Equity;
    • on the merger of its portfolio company FocusVision with Confirmit, a portfolio company of Verdane; and together with Verdane on the sale of Forsta, an industry-leading global provider of customer experience and market research technology, to Press Ganey, a leader in patient, member, employee and consumer experience across the healthcare ecosystem.
  • Clearlake Capital Group*:
    • together with Siris Capital Group, LLC-backed Newfold Digital on their acquisition of YITH, one of the largest independent sellers and developers of WooCommerce plugins and themes for WordPress; and
    • Discovery Education, a worldwide edtech leader backed by Clearlake Capital Group, L.P., on its acquisition of DoodleLearning.
  • Bilkul Football WBA* on its acquisition of West Bromwich Albion Football Club;
  • Mercury/13* on its launch of a $100 million fundraise to acquire controlling stakes in women’s professional sports teams in Europe and Latin America;
  • TowerBrook Capital Partners* on its acquisition of Azzurri Group, the owner of the ASK Italian, Zizzi and Coco di Mama brands, along with the Pod Food Limited fast food delivery service via a pre-pack administration sale following a competitive bid process;
  • Great Hill Partners* in connection with its acquisition of Notonthehighstreet, a curated online marketplace in the UK;
  • GIC* on its investment in Convex Group Limited, the specialty insurer and reinsurer focused on complex risks, which launched with $1.7 billion of committed capital in April of 2019. The investment was part of a GIC and Onex Corporation-led consortium of existing and new co-investors committing to invest an additional $1 billion in Convex; and
  • Travelex* on the implementation of its financial and operational restructuring.
