Corporate partner Laura Turano was quoted extensively in an article by Corporate Secretary, “Tough M&A Climate Brings Focus on Compliance and Creativity, Lawyers Say.” In the article, published December 29, Laura recommends that deal teams focus on creative solutions and extensive preparation to get deals across the finish line in the current environment.
“Boards are asking for creativity. My clients are looking at different deal structures than they would have in the past as a result,” Laura says, citing partnerships, collaborations, seller-financing, minority purchases and spin-offs as examples.
Laura also observes that going in front of the board and advocating for a deal has always required extensive preparation, but boards are asking why now is the right time for a deal, given the challenging financing and antitrust environment.
