Corporate partner Cullen Sinclair spoke with Global Finance magazine about due diligence considerations and risk-shifting tools buyers rely on before entering into a corporate transaction. In “Deal Detectives,” published on February 5, Cullen noted that “[a] deal may look lucrative from the outside; but after digging into a target’s financial models and EBITDA, it may not actually be feasible or wise to pursue.” He also observed that, in today’s dealmaking environment, investors often deploy risk-shifting tools, such as representations and warranties insurance or contractual provisions, to “address thorny issues that crop up in diligence and help get a transaction over the finish line.”
