Corporate partner Carmen Lu was quoted in an article on The Deal regarding the importance of company director communication with investors. In “Director-Investor Talks Key to Effective Communication,” published on October 15, Carmen, speaking at the National Association of Corporate Directors Summit, notes that communication between independent directors and institutional shareholders is key as a surge in activist campaigns is expected.
“As a director, it is important that you are independently demonstrating knowledge, skills and expertise and that it doesn’t look like management is giving you guidance on how to communicate,” Carmen says. “Done well, it can be an incredibly powerful tool for engagement.”
Carmen added that increased M&A activity may lead to a busy proxy season, as M&A is a main tool for activists to generate outperformance versus the market.
