Paul, Weiss is advising Madison Dearborn Partners on its all-cash take-private acquisition of The Marygold Companies, Inc., a global holding firm specializing in financial services, food manufacturing, printing and beauty products. NYSE-listed Marygold is also the holding company of USCF, a leading commodity-focused exchange-traded fund manager with about $6 billion in assets under management.
Under the agreement, Marygold stockholders will receive $2 per share in cash. The transaction is expected to close in the first half of 2027, pending customary closing conditions and approvals. Following close, MDP and Marygold leaders will begin Marygold’s previously announced strategy to refocus the business on USCF.
The Paul, Weiss team is led by corporate associates Lewis Fainer and Brian Huang, and partner Adam Givertz, and includes partners Reva Raghavan, Prem Mohan and Jennifer Songer, and tax partner Scott Sontag and counsel Daniel Bleiberg.
