Carnival to Simplify Its Corporate Structure

Paul, Weiss is advising Carnival Corporation & plc on the simplification of its corporate structure from a dual-listed company with shares trading separately in New York and London to a single company, Carnival Corporation Ltd. Upon completion, expected by the end of the second quarter of 2026, the unified business will be listed solely on the New York Stock Exchange, with Carnival plc as its wholly owned UK subsidiary. Carnival also plans to shift its place of legal incorporation from Panama to Bermuda.
