Paul, Weiss is advising Aurora Cannabis Inc. in its sale to Organigram Global Inc., for C$7.80 per common share, valuing Aurora at approximately C$561 million. Aurora and Organigram, both headquartered in Canada, will create a leading global cannabis company operating in Canada, Europe and Australia, with a growing presence across other key regions. The combined company will benefit from the support of Organigram’s cornerstone strategic shareholder, British American Tobacco, a global consumer goods company with demonstrable innovation, marketing and product development capabilities around the world.

The agreement follows the Aurora board of directors’ unanimous rejection of a hostile bid from Curaleaf Holdings, Inc. The deal is expected to close in January 2027, subject to shareholder, regulatory and court approvals.

The Paul, Weiss team is led by corporate partners Adam Givertz and Christian Kurtz and includes partner Christopher Cummings and counsel Aaron Abramson and tax partner Matthew Jordan.
