Ashton Kutcher Invests in Soho House

Paul, Weiss is advising Ashton Kutcher as leader of a consortium of strategic investors in connection with Soho House & Co Inc.’s take-private deal with hotel management company MCR and its chairman and CEO for an enterprise value of approximately $2.7 billion. Under the terms of the transaction, the consortium led by Kutcher will provide equity capital for the deal, and Kutcher will join Soho House’s board of directors. The proposed transaction is expected to close by the end of 2025, subject to regulatory approvals and other closing conditions.
